End User License Agreement

This End User License Agreement (“EULA”) governs the use of fonts licensed by Gradient Type (“Licensor”) to you (“Licensee”). By downloading, installing, or using the fonts, you agree to be bound by the terms of this EULA. If you do not agree to these terms, do not download, install, or use the fonts.

1. Definitions

In this EULA:

1.1 “Licensee” means the individual or legal entity obtaining rights under this EULA.

1.2 “Licensed Material” means the product(s), files, assets, or software provided by Licensor.

1.3 “License” means the category of rights granted under this Agreement (Commercial, Non-Profit, or Student/Educator).

1.4 “License Volume” means the organisational size category (including employees, contractors, collaborators, and third parties) that determines the permitted scope of use.

1.5 “License Type” means the usage tier (Standard or Premium) that defines permitted platforms, formats, and impression limits.

2. License Grant

2.1 Subject to compliance with this EULA, Licensor grants Licensee a non-exclusive, non-transferable, non-sublicensable license to use the Licensed Material as set out below.

2.2 The Licensee’s rights are limited by the License, License Volume, and License Type selected in the applicable purchase order, invoice, or checkout process.

2.3 License Categories:

(a) Commercial License:
Permits use by for-profit entities, freelancers, agencies, contractors, and any project involving commercial, promotional, or revenue-generating purposes.

(b) Non-Profit License:
Permits use by registered non-profit entities for non-commercial purposes only. Monetization or commercial exploitation is prohibited.

(c) Student/Educator License:
Permits use by students and educators for educational or academic purposes only. Commercial use is prohibited.

3. License Volume / Company Size

3.1 License Volume is determined by the size of the company or organisation that ultimately owns, controls, or benefits from the final project in which the Licensed Material is used.

3.2 Accordingly, the License Volume must be selected based on the total size of the client’s company or organisation, including:

  • Employees of the client organisation
  • Agencies, freelancers, contractors and collaborators working for the client
  • Third parties involved in maintaining, operating, or distributing the final project

3.3 Access to the Licensed Material by agencies, freelancers, or contractors is permitted solely for the purpose of delivering work to the Licensee of Interest and does not reduce or replace the requirement for the License Volume to cover the client organisation.

3.4 License Volume applies per organisation, not per project. If the Licensed Material is reused by the Licensee of Interest across multiple projects, platforms, or departments, the License Volume must continue to cover the full organisational size.

3.5 Where multiple client organisations receive deliverables that include the Licensed Material, each client organisation must hold an appropriate license and License Volume, unless explicitly permitted otherwise in writing by the Licensor.

3.6 The Licensee is responsible for ensuring that the selected License Volume accurately reflects the organisational size of the Licensee of Interest at all times. If the organisation grows or expands its use, the License Volume must be upgraded accordingly.

3.7 Licensor reserves the right to request reasonable verification of organisational size to confirm compliance with the selected License Volume.

4. Permitted Use

4.1 Standard License: Licensee may use the Licensed Material in Desktop, Logo, Web, and Social contexts only (subject to an aggregate maximum of 100,000 impressions per month on all social platforms). The number of font installations and website page views is unlimited as the License Volume is already calculated by a Company/Organisation size.

4.2 Premium License: Licensee may use the Licensed Material in Desktop, Logo, Web, Mobile Apps, Games, Video, Broadcast, ePub/Embed and Social contexts (with no fixed impression limit on social platforms). The number of font installations, font embeds and website page views is unlimited as the License Volume is already calculated by a Company/Organisation size.

5. License Restrictions

5.1 Licensee shall not modify, adapt, translate, reverse engineer, decompile, or create derivative works based on the Licensed Material, except as expressly permitted.

5.2 Licensee shall not sublicense, rent, lease, sell, redistribute, or otherwise transfer the Licensed Material in any form unless expressly permitted in writing.

5.3 Licensee shall not use the Licensed Material in unlawful, defamatory, obscene, or harmful content.

5.4 Use in a manner that competes with the Licensor or violates third-party intellectual property rights is prohibited.

6. Intellectual Property

6.1 The Licensed Material and all related intellectual property rights remain the exclusive property of Licensor and are protected by copyright and international treaties.

6.2 This EULA does not transfer any ownership rights to Licensee.

7. Term and Termination

7.1 This EULA is effective upon the date Licensee receives or uses the Licensed Material and continues until terminated.

7.2 This EULA terminates automatically without notice if Licensee breaches any terms.

7.3 Upon termination, Licensee must immediately cease all use and destroy all copies of the Licensed Material.

8. Warranty and Liability

8.1 The fonts are provided “as is” without warranty of any kind, either express or implied, including but not limited to the implied warranties of merchantability and fitness for a particular purpose.

8.2 The Licensor shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of the use or inability to use the fonts.

9. General

9.1 This EULA constitutes the entire agreement between the parties regarding the Licensed Material and supersedes all prior agreements.

9.2 This EULA shall be governed by and construed in accordance with the laws of The Kingdom of Norway.

9.3 Any amendments or modifications must be in writing and signed by both parties.
